THIS AGREEMENT is entered into this June 1, 20xx by and between UNIPIA Co., Ltd., corporation organized and existing under the laws of the laws of the Republic of korea (hereinafter referred to as "Korea"), with its principal office at (hereinafter referred to as "X") and America Trading Co., Ltd., a company organized and existing under the laws of the State of New York, United states of America, with its principal office at (hereinafter referred to as "Y")

13.2 Force Majeure13.2 불가항력A party hereto shall not be liable to the other party for any loss, injury, delay, damages or other casualty suffered or incurred by the latter due to strikes, riots, storms, fires, explosions, acts of God, war action of any government or any other cause beyond the reasonable control of the party, and any failure or delay by either party hereto in performance of any of its obligations under this Agreement due to one or more of the foregoing causes shall not be considered a breach of this Agreement.
13.3 Severality13.3 계약조항의 독립In the event any term or provision of this Agreement shall for any reason be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceable shall not affect any other terms or provisions hereof; in such event, this Agreement shall be interpreted and construed as if such term or provision, to the extent, same shall have been held invalid, illegal or unenforceable, had never been contained herein.
