기업수명주기에 따른 이사회 효과성과 감사보수 간의 관련성 (The Relationship between Board Effectiveness and Audit Fees across the Firm Life Cycles)

초록

많은 선행연구는 효과적인 이사회가 경영자 감시비용을 많이 지출한다고 주장하면서도 이러한 관련성이 기업수명주기 단계별로 어떻게 달라지는지에 대해서는 간과하였다. 따라서 본 연구의 목적은 이사회 효과성과 감사보수 간의 관련성을 검증한 다음, 이러한 관련성이 기업수명주기 단계별로 어떻게 차이 나는지를 분석하는것이다. 이러한 검증은 이사회 효과성을 높이기 위해 기업수명주기 단계별로 기업이 취해야 할 경영전략을 제시하게 될 것이다. 본 연구에서 이사회 효과성은 감사보수와 유의한 양(+)의 관련성이 나타났다. 이러한 결과는이사회 효과성이 높을수록 기업은 경영자 감시비용을 더 많이 지출한다는 것을 알 수 있다. 기업수명주기 단계별로 보면, 감사보수에 대한 이사회 효과성의 영향은 도입기, 조정기 그리고 쇠퇴기에서 상대적으로 높았고, 그다음으로 성숙기와 성장기 순이었다. 이러한 결과는 이사회가 효과적일수록 미래의 불확실성과 경영자의 기회주의적 행동이 높을 것으로 보이는 환경에서 많은 감사보수를 지출한다는 것을 보여준다. 이사회 특성인 독립성, 규모 그리고 모임횟수도 모두 감사보수와 유의한 양(+)의 관련성이 나타났다. 그러나 이러한 관련성은 기업수명주기 단계별로 상이하였다. 즉 이사회 독립성은 성장기와 성숙기에서 차별적으로 유의하였고, 이사회 규모와 모임횟수는 쇠퇴기에서 차별적으로 유의하였다. 본 연구는 이사회 효과성과 감사보수 간의 관련성을 기업수명주기 단계별로 분석하여 경영자 감시에 대한 선행연구에 새로운 증거를 제시하였다. 또한 이사회 효과성을높이기 위해 기업수명주기 단계별로 기업이 취해야 할 차별적 전략을 제시하였다.

영어초록

Many previous studies have argued that effective boards spend a lot of money on managerial monitoring, but overlooked how this relationship varies at each stage of the firm life cycle. Therefore, the purpose of this study is to verify the relationship between board effectiveness and audit fees, and then analyze how this relationship differs for each stage of the firm life cycle. Such verification will suggest management strategies that firms should take at each stage of the firm life cycle to increase board effectiveness.
From the analysis, board effectiveness is showed to be significantly and positively associated with audit fees.
These results indicate that the higher the board effectiveness, the more the firm spends the management monitoring costs. By the firm life cycle stages, the effect of the board on monitoring costs was relatively high in the introduction, shake-out and decline stages, followed by the mature and growth stages. These results show that the more effective the board of directors, the greater the monitoring costs in an environment where future uncertainty and managerial opportunistic behavior are likely to be higher. In addition, board independence, size, and meeting frequency, which are board characteristics, are all positively related to audit fees. However, these relationships are different for each stage of the firm life cycle. In other words, board independence was differentially significant in the mature and growth stages, and the board size and meeting frequency were differentially significant in the decline stage. This study analyzed the relationship between board effectiveness and audit fees at each stage of the firm life cycle, and presented new evidence in the previous study on management monitoring. In addition, in order to increase board effectiveness, it presented a differentiated strategy that firm should take at each stage of the firm life cycle.
