1. 소개의 말
최근 우리나라에서도 기업지배구조(Corporate Governance)의 개선이라는 말이 자주 쓰이고 있다. 일반적으로 건전하고 투명한 기업경영이라는 뜻으로 우리나라의 전통적인 재벌식 경영에 반대되는 의미로 주로 사용되고 있습니다.
OECD는 기업지배구조를 ‘기업경영에 관여하고 있는 다양한 이해관계자간의 관계’(a set of relations between a company's management, its board, its shareholders and other stakeholders)라고 정의하고 있습니다. 즉, 기업의 법적 소유자인 주주(shareholders), 이들 주주로부터 경영을 위임을 받은 이사회(board), 실질적으로 매일매일의 기업경영을 담당하기 위해 이사회에 의해 고용된 경영자(management), 그밖에 기업경영에 직간접적으로 관여하게 되는 종업원, 채권자 등 이해관계인(stakeholders)간의 관계를 바르게 설정함으로써 기업과 주주, 나아가 직간접 이해관계자의 이익까지를 극대화 하는 것을 의미한다고 할 수 있습니다.
